Documents required for Limited Liability Partnership

    Identity & Address Proof:

  • PAN Card (mandatory for all partners)
  • Aadhar Card or Passport or Voter ID or Driving License (for each partner)
  • Passport-size Photograph (of each partner)
  • Proof of Residential Address (any one: Utility Bill, Bank Statement, or Rent Agreement, not older than 2 months)

    Proof of Registered Office:

  • Conveyance/Lease Deed/Rent Agreement (along with rent receipts)
  • Utility Bill (Electricity, Telephone, or Gas bill, not older than 2 months)
  • NOC from Landlord (if the premises are rented)

    LLP Agreement:

  • LLP Agreement (signed by all partners, detailing the roles, responsibilities, and profit-sharing ratios among partners)

    Documents for Incorporation:

  • Form FiLLiP (for incorporating the LLP, to be filed with the Registrar of Companies)
  • Designated Partner’s Consent (form DIR-2, confirming the consent of each designated partner to act as a partner)

  • PAN Card of the LLP (to be applied after the LLP is formed)
  • Bank Statement (for opening a bank account, using the LLP’s PAN and incorporation documents)

Detailed Registration Process

The registration process for an OPC generally involves the following steps:

  • Step 1: Choose a unique name for the LLP.
  • Step 2: Obtain Digital Signature Certificate (DSC) for all designated partners.
  • Step 3: Apply for Director Identification Number (DIN) for each partner.
  • Step 4: File Incorporation Documents with the Registrar of Companies (RoC).
  • Step 5: Draft and sign the LLP Agreement outlining roles, profit-sharing, and responsibilities.
  • Step 6: Apply for PAN for the LLP.
  • Step 7: Register for GST (if turnover exceeds the threshold).
  • Step 8: Open a business bank account in the name of the LLP.

  • To form an LLP in India, you need a minimum of two partners (individuals or corporations), a Digital Signature Certificate (DSC) for the designated partners, a Director Identification Number (DIN), a unique name for the LLP, a registered office in India, and a legal LLP Agreement.
  • The LLP Agreement should include provisions on business name, capital contribution, profit-sharing ratio, partners' roles and responsibilities, admission/exit of partners, dispute resolution, and the duration or termination of the LLP.

LLPs are not taxed at the entity level. Profits are passed on to the partners, who report them in their individual tax returns. There is no double taxation, and capital gains taxes apply if assets are transferred. If turnover exceeds ₹40 lakhs, a tax audit is required.

  • In an LLP, partners have limited liability, meaning they are only liable up to the amount of their capital contribution. Personal assets are protected from business liabilities, provided there is no personal guarantee or misconduct involved.
